Dextro Imaging Solutions Terms & Conditions of Sale By placing an order with Dextro Imaging Solutions ("Dextro"), submitting payment, accepting a quotation, or otherwise authorizing Dextro to fulfill an order, the buyer acknowledges and agrees to the following Terms & Conditions of Sale. 1. Pricing and Payment All prices are stated in U.S. Dollars (USD) unless otherwise specified in writing. Payment is due according to the terms stated on the applicable quotation, invoice, or order confirmation. Unless expressly approved in writing by Dextro, payment in full is required prior to shipment. Prices are subject to change prior to acceptance of an order. Any quotation is valid only for the period stated on the quotation.
2. Custom-Built and Configured Equipment Certain Dextro products, including Radcom workstation systems, are custom-built, integrated, configured, imaged, calibrated, and/or tested for the buyer's order and are not standard off-the-shelf inventory. Any estimated production or fulfillment timeframe provided by Dextro is an estimate and is not a guaranteed delivery date. Lead times may vary based on product configuration, component availability, order volume, carrier schedules, customs processing, and other circumstances outside Dextro's reasonable control.
3. Order Changes and Cancellations Requests to modify or cancel an order must be submitted to Dextro in writing and may incur a fee. Because certain products are custom-built or specially configured, an order may become non-cancellable once procurement, configuration, assembly, imaging, integration, or other production activities have begun. Dextro reserves the right to determine whether an order may be modified or cancelled and whether costs already incurred are refundable.
4. Shipping and Delivery Shipping, freight, handling, and insurance charges are additional unless expressly included in the written quotation or invoice. Dextro may ship using UPS, FedEx, DHL, or another appropriate commercial carrier. Delivery dates and carrier transit times are estimates. Dextro is not responsible for delays caused by carriers, weather, customs authorities, government agencies, supply-chain disruptions, or other circumstances outside Dextro's reasonable control. The buyer is responsible for promptly inspecting all shipments upon receipt and notifying Dextro of any apparent shipping damage, missing items, or discrepancies within 24 hours.
5. International Orders, Taxes, Duties and Fees Unless expressly stated otherwise in writing, quoted product prices do not include VAT, GST, customs duties, tariffs, import taxes, brokerage charges, government fees, or other destination-country assessments. The buyer is responsible for all applicable taxes, duties, VAT, GST, customs charges, import fees, brokerage fees, and other governmental assessments associated with the purchase, importation, delivery, or use of the products. International buyers are responsible for complying with applicable import requirements and providing information or documentation reasonably required for customs clearance.
6. Returns and Return Authorization Return requests must be initiated in writing within fifteen (15) calendar days of the buyer's receipt of the product. All returns require prior written authorization from Dextro and issuance of a Return Merchandise Authorization (RMA). Unauthorized returns may be refused and returned to the buyer at the buyer's expense. Authorized returned equipment must be received by Dextro within twenty-one (21) calendar days of the buyer's original receipt of the product, unless otherwise agreed to in writing. The buyer is responsible for all return shipping costs. Returns must be shipped via UPS, FedEx, or DHL, with tracking and adequate insurance for the full value of the equipment. The buyer assumes responsibility for loss or damage to equipment during return transportation. Returned products must be received in their original condition and packaging, including all components, accessories, cables, peripherals, documentation, and other materials originally supplied. Dextro reserves the right to deduct from any applicable refund or credit the cost of missing components, damaged equipment, replacement packaging, or other conditions that diminish the value of the returned product. Original shipping, handling, insurance, duties, taxes, VAT/GST, customs charges, brokerage fees, and other transportation-related expenses are nonrefundable. All returns remain subject to Dextro's then-current Return Policy. International Returns International orders and requests for the return of products shipped outside the United States are evaluated on a case-by-case basis and require prior written approval from Dextro Imaging Solutions. Due to international shipping requirements, customs regulations, import/export restrictions, duties, taxes, VAT/GST, brokerage charges, and other country-specific requirements, the standard return provisions stated herein may not apply to international orders. Authorization of an international return is at Dextro's discretion and may be subject to additional terms and conditions provided at the time of authorization. Unless otherwise agreed to in writing, the buyer is responsible for all costs associated with an authorized international return, including return freight, insurance, customs clearance, duties, taxes, brokerage fees, and other applicable charges. Approval of an international return does not obligate Dextro to refund any original shipping, insurance, duties, taxes, VAT/GST, customs, brokerage, or other transportation or import-related charges.
7. Warranty and Service Returns Products are covered only by the warranty applicable to the specific product purchased. Equipment sent to Dextro for warranty evaluation, repair, replacement, or other service does not constitute a return for refund. Warranty and service shipments require prior authorization from Dextro and may require an RMA. Unless otherwise expressly agreed to in writing, the buyer is responsible for the cost of shipping equipment to Dextro for warranty evaluation or service. Repair, replacement, return transportation, or other remedies will be handled according to the applicable product warranty.
8. Inspection of Returns All returned equipment is subject to inspection and evaluation by Dextro before a refund, repair, replacement, credit, or other remedy is approved. Dextro reserves the right to reduce an otherwise applicable refund or credit for missing components, damaged equipment, replacement packaging, or other conditions that diminish the value of the returned product.
9. Third-Party Products and Software Certain products sold or integrated by Dextro may contain hardware, software, components, or technology manufactured or licensed by third parties. Third-party products and software may be subject to separate manufacturer warranties, license agreements, end-user license agreements, or other terms established by the applicable manufacturer or software provider.
10. Product Specifications Dextro continually evaluates and improves its products. Components, specifications, appearance, software versions, and configurations may change based on availability, technological improvements, or manufacturer updates, provided such changes do not materially diminish the intended functionality of the product.
11. Limitation of Liability To the fullest extent permitted by applicable law, Dextro shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the purchase, possession, use, inability to use, shipment, delay, installation, or servicing of a product, including lost revenue, lost profits, lost data, or business interruption. To the fullest extent permitted by law, Dextro's aggregate liability arising from a product sale shall not exceed the amount actually paid to Dextro for the product giving rise to the claim.
12. Force Majeure Dextro shall not be responsible for failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, severe weather, acts of government, labor disruptions, carrier delays, customs delays, component shortages, supply-chain disruptions, transportation interruptions, war, civil unrest, epidemics, or other events beyond Dextro's reasonable control.
13. Governing Law These Terms & Conditions of Sale and any transaction between Dextro and the buyer shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any additional venue, jurisdiction, dispute-resolution, or attorneys' fees provisions shall be as specified in Dextro's applicable agreement or other written terms.
14. Entire Agreement and Conflicting Terms These Terms & Conditions, together with the applicable quotation, invoice, order confirmation, warranty, and any separately executed written agreement, constitute the terms applicable to the sale. Any terms contained in a buyer's purchase order or other document that are inconsistent with or additional to Dextro's Terms & Conditions shall not modify Dextro's terms unless expressly accepted by Dextro in writing. In the event of a conflict between these Terms & Conditions and a separately executed written agreement signed by Dextro, the separately executed agreement shall control.
15. Acceptance of Terms. By submitting an order, authorizing a purchase, accepting a quotation, or making payment, the buyer acknowledges that the buyer has reviewed, understands, and agrees to these Terms & Conditions of Sale.
US Return Policy Return requests must be initiated in writing within fifteen (15) calendar days of the date the product is received by the buyer. Return requests received after this 15-day period will not be eligible for return. Return Authorization Required All returns require prior written authorization from Dextro Imaging Solutions. Upon approval of an eligible return request, Dextro Imaging Solutions will issue a Return Merchandise Authorization (RMA) and provide return shipping instructions.
Products returned without prior authorization or a valid RMA may be refused and returned to the buyer at the buyer's expense. Once a return has been authorized, the equipment must be received by Dextro Imaging Solutions within twenty-one (21) calendar days of the buyer's original receipt of the product, unless otherwise agreed to in writing by Dextro Imaging Solutions. Return Shipping The buyer is responsible for all return shipping costs. Returned equipment must be shipped using UPS, FedEx, or DHL, with tracking and adequate insurance for the full value of the equipment.
The buyer assumes responsibility for the equipment while in transit to Dextro Imaging Solutions, including any loss or damage occurring during return shipment. Condition of Returned Equipment All returns must be received in their original condition and packaging, including all components, accessories, cables, peripherals, documentation, and other materials originally provided with the product. Dextro Imaging Solutions reserves the right to deduct from any applicable refund the cost of missing items, replacement packaging, or damage beyond normal inspection and handling.
Original shipping, handling, insurance, duties, taxes, VAT, customs charges, and other transportationrelated charges are nonrefundable. Warranty and Service Returns Equipment returned for warranty evaluation, repair, service, or replacement is not considered a product return for refund and is not governed by the 15-day return-request period described above. Warranty and service returns require prior authorization from Dextro Imaging Solutions and may require an RMA or other return documentation. Unless otherwise expressly agreed to in writing by Dextro Imaging Solutions, the buyer is responsible for the cost of shipping equipment to Dextro Imaging Solutions for warranty evaluation or service. Any repair, replacement, return shipping, or other remedy provided under warranty will be subject to the terms and conditions of the applicable product warranty.
Dextro Imaging Solutions reserves the right to inspect and evaluate returned equipment before approving any refund, repair, replacement, or other remedy.
